Key takeaways

  • Q2 2026 revenue was $6.7m against a first-half operating cash outflow of $80m and cash of $1.4m
  • Related parties Vivasor and Scilex were 86% of receivables
  • Shares rose from 573m to 950m in under eight months, or 1,161m including warrants, earn-out and notes
  • Initiate at Sell with a $0.026 target, 83% below the price

Investment thesis

Equity value rests on patents, a shrinking Bitcoin stack and related-party balances, not on revenue. The $143m market cap compares with $49m in our sum of the parts, and funding needs and related-party flows outweigh what the company has built.

Valuation

Our $0.026 target is a probability-weighted value that already assumes the funding is raised. Bitcoin adds $69m at $82,023, but $35m of committed payments claim most of it.

Risks to our view

  • Helmex tranche 1 ($500m) closing in cash with no variable-price conversion would move us to Hold
  • Regaining Nasdaq bid-price compliance by 22 Feb 2027 without a reverse split below 1:20, with Bitcoin above $110,000
  • Collecting more than $12m of the $24.0m related-party receivable in cash
